Kidly

Partner terms and conditions

For venues, vendors, advertisers and council partners. Version 1.0. Effective 8 October 2026.

1. About these Terms

1.1 These Terms apply between Kidly Pty Ltd (Kidly, we, us) and any business, organisation or local government that lists a venue, offer or event on Kidly, or pays Kidly for any service (Partner, you).

1.2 By submitting a listing, offer or event, or by accepting a quote or invoice from Kidly, you agree to these Terms.

1.3 Kidly is a family planning and savings app for Western Australia. Its value to families depends on recommendations being independent and trustworthy. Several clauses in these Terms exist specifically to protect that independence, and they apply to every Partner equally.

2. Definitions

2.1 Planner means Kidly’s feature that builds plans for families based on their suburb, children’s ages, time window and other inputs.

2.2 Verification Standards means Kidly’s published criteria for shade, safety, toilets, pram and wheelchair access, and any other criteria Kidly publishes from time to time.

2.3 Exclusive Offer means a discount or benefit a Partner makes available only to Kidly users.

2.4 Paid Placement means any placement, promotion or feature a Partner pays for, including Featured slots, Sponsored guides and promoted events.

2.5 Redemption means a Kidly user claiming an offer at your venue, as recorded by Kidly’s redemption method (code, QR scan or in-app confirmation).

3. Listings and verification

3.1 Basic listings are free. Kidly may accept, decline, edit for accuracy, or remove any listing at its discretion.

3.2 Every venue must meet the Verification Standards before it is listed, whether or not the Partner pays Kidly. Payment does not guarantee, speed up, or replace verification.

3.3 Kidly may re-verify venues at any time, including through site visits, parent feedback and photographs. If a venue no longer meets the Verification Standards, Kidly may remove or relabel the listing, and any Paid Placement will be paused without penalty to Kidly.

3.4 You must keep your listing information accurate, including opening hours, prices, accessibility and any safety-relevant changes, and tell us within 5 business days of any change.

4. Offers and discounts

4.1 Offers you submit must be genuine. An Exclusive Offer must be better than, or not available through, your standard public pricing or other public promotions.

4.2 You must honour any offer displayed on Kidly for its stated period, and give at least 14 days’ notice to withdraw or change it.

4.3 Offers must comply with the Australian Consumer Law, including clear conditions and no misleading pricing.

5. Fees

5.1 Kidly may offer the following paid services, at the rates in your quote or Kidly’s current rate card:

5.2 Fees are invoiced monthly in arrears, payable within 14 days, and exclude GST unless stated.

5.3 Kidly will provide a monthly report of Redemptions, bookings and placement impressions that relate to your fees.

6. Editorial independence

This section is the core promise Kidly makes to families. It cannot be varied by any individual agreement, quote or side arrangement.

6.1 Planner rankings are not for sale. The Planner selects places using independent factors only, including verification status, suitability for the children’s ages, distance, weather, UV and heat conditions, accessibility and parent feedback. No payment, fee, commission or relationship with Kidly influences whether or where a venue appears in a family’s Planner results.

6.2 Paid Placement is always separate and labelled. Paid Placement appears only in areas clearly marked “Sponsored”, “Featured” or “Partner deal”, and never replaces a stop inside a family’s plan.

6.3 Commercial content cap. No more than one stop in any generated plan may be a venue with an active discount or commercial arrangement with Kidly, and only where it would have been selected on independent factors anyway.

6.4 Reviews and ratings. Partners must not write, buy, incentivise or suppress reviews or feedback about their own or any other venue. Kidly may remove listings found to do so.

6.5 No exclusivity over competitors. No Partner may require Kidly to exclude, demote or hide a competing venue.

6.6 Revenue concentration. Kidly aims to ensure that no single Partner accounts for more than 15% of Kidly’s annual revenue, and may decline or limit paid services to maintain independence.

6.7 Local government partners. Council-sponsored guides and events are labelled as sponsored. Sponsorship does not entitle a council to rank its events above other suitable options in the Planner.

6.8 Audits. Kidly reviews Planner recommendation patterns against commercial relationships at least every six months, and publishes a summary of its approach to families.

7. Your obligations

7.1 You must hold all licences, permits, food registrations and insurance required to operate, including public liability insurance of at least $20 million, and provide evidence on request.

7.2 You must comply with applicable child safety laws and, where relevant, Working with Children Check requirements under the Working with Children (Screening) Act 2004 (WA).

7.3 You grant Kidly a non-exclusive, royalty-free licence to use your name, logo, photos and descriptions to display your listing and offers.

8. Privacy and data

8.1 Kidly handles personal information in line with the Privacy Act 1988 (Cth) and its Privacy Policy.

8.2 Kidly does not sell users’ personal information to Partners. Partners receive aggregated, de-identified reporting only, unless a family chooses to share details (for example, when booking).

8.3 Partners must not use information obtained through Kidly to contact families for marketing without their consent.

9. Liability

9.1 Nothing in these Terms excludes rights that cannot be excluded under the Australian Consumer Law.

9.2 You are responsible for the services provided at your venue and indemnify Kidly against claims arising from your venue, your offers or your breach of these Terms.

9.3 To the extent permitted by law, Kidly’s total liability to you is limited to the fees you paid Kidly in the 12 months before the claim.

10. Suspension and termination

10.1 Either party may end paid services with 30 days’ written notice. Free listings may be removed by you at any time.

10.2 Kidly may suspend or remove a listing immediately if a venue fails verification, a safety concern is raised, an offer is not honoured, or you breach clause 6 or 7.

10.3 Fees for services already delivered remain payable on termination.

11. General

11.1 Kidly may update these Terms with 30 days’ notice. Continued use after that date means you accept the updated Terms.

11.2 These Terms are governed by the laws of Western Australia, and the parties submit to the courts of Western Australia.
